                                                AI SOLUTIONS SOFTWARE LICENSE AGREEMENT
This is a legal agreement between you, the end user, and Lattice Semiconductor Corporation if you are an end user located in the United States and Lattice SG Pte. Ltd. if you are an end user located in a country other than the United States. "Lattice" in this Agreement means Lattice Semiconductor Corporation or Lattice SG Pte. Ltd. By proceeding with the installation or use of the software made available by Lattice to you ("Work"), you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use, download or install the Work, and if you have already obtained the Work from an authorized source, destroy or promptly return the media package and all accompanying items to the place you obtained them. 

For purposes of this Agreement, any modified versions of the Work that have been changed or customized by Lattice for Licensee (as defined below) after download by Licensee are subject to the terms and conditions of this Agreement. 

Lattice and the individual or entity acquiring the Work ("Licensee") agree as follows: 
1.     License Grant.  Lattice grants to Licensee a personal, non-exclusive, non-transferable, non-sublicensable right to use the Work, in executable (object code) form only for the sole purposes of creating and implementing design(s) to program Lattice programmable logic devices and associated Lattice reference designs.  Notwithstanding the foregoing, to the extent the Work consists of or includes an AI Solution (as defined in Section 2), Lattice grants to Licensee a personal, non-exclusive, non-transferable, non-sublicensable right to use the AI Solution in source or human-readable form, and to modify the AI Solution and create derivative works thereof, in each case solely for Licensee's own internal use in connection with Lattice programmable logic devices and subject to the restrictions in Section 2.  Licensee shall not distribute, publish, post, sublicense, sell, lease, lend, or otherwise make available the AI Solution or any modification or derivative work thereof to any third party, and shall not remove or alter any copyright, proprietary, or attribution notice contained therein.  Any use or attempted use of the Work in violation of the foregoing restrictions is a breach of the Agreement, which will cause irreparable harm to Lattice, entitling Lattice to injunctive relief in addition to all legal remedies, and will result in automatic termination of this Agreement.  

2.     AI Solution. 
(a)     Definition.  "AI Solution" means any portion of the Work that Lattice makes available for use with, or for interpretation or execution by, an artificial intelligence or machine learning system, including any agent skills, prompts, instructions, rules, guidance, templates, workflows, tool or interface definitions, connectors, servers, protocol implementations, configuration files, scripts, and accompanying documentation, in each case regardless of file format or programming, scripting, markup, or data language, whether delivered in source, script, or other human-readable form, and including any successor or replacement technology performing a similar function. 

(b)     No AI Engine Provided; Third-Party AI Services.  The AI Solution does not include, and Lattice does not provide, host, or operate, any artificial intelligence engine, model, agent, or service.  Licensee is solely responsible for selecting, obtaining, configuring, and maintaining, at its own cost, any third-party artificial intelligence engine, model, agent, or service used with the AI Solution (each, a "Third-Party AI Service"), and for complying with all terms, policies, usage limits, and fees of the provider thereof.  Lattice is not a party to, and assumes no obligation or liability under or arising out of, any agreement between Licensee and any provider of a Third-Party AI Service.  Any reference to, or compatibility of the AI Solution with, a Third-Party AI Service does not constitute an endorsement, certification, qualification, or recommendation by Lattice. 

(c)     Licensee Content.  Licensee acknowledges that use of the AI Solution may cause design files, source code, netlists, constraints, logs, prompts, and other content selected by Licensee to be transmitted to, processed by, stored by, and retained by a Third-Party AI Service outside of Lattice's possession or control.  Licensee is solely responsible for determining what content it transmits, for obtaining all rights, consents, and authorizations necessary for such transmission, and for ensuring that such transmission complies with all confidentiality, privacy, data protection, export control, and other obligations applicable to Licensee, including obligations owed to third parties.  Lattice has no responsibility or liability for the security, confidentiality, integrity, retention, deletion, or use of any content transmitted to or by a Third-Party AI Service. 

(d)     Generated Output.  Any design, code, netlist, constraint, bitstream, script, report, recommendation, or other output generated through use of the AI Solution ("Generated Output") is generated by a Third-Party AI Service and not by Lattice.  Lattice makes no representation or warranty of any kind that Generated Output will be accurate, complete, functional, synthesizable, manufacturable, secure, non-infringing, or fit for any purpose, and no such warranty is provided anywhere in this Agreement.  Generated Output may be erroneous, incomplete, or inconsistent even where the AI Solution is used as documented, and identical inputs may yield differing outputs.  Licensee is solely responsible for independently reviewing, simulating, verifying, and validating all Generated Output before any use, and bears sole responsibility for all designs, products, and decisions that incorporate or rely upon Generated Output.  Licensee shall not treat the AI Solution or any Generated Output as a substitute for the exercise of independent professional engineering judgment or for any safety, reliability, security, or regulatory qualification activity.  Licensee shall not use the AI Solution or any Generated Output in any application in which failure or malfunction could reasonably be expected to result in death, personal injury, or severe property or environmental damage. 

(e)     AI Use Restrictions.  Licensee shall not use the AI Solution, or any portion thereof, to train, fine-tune, retrain, distill, evaluate, or benchmark any artificial intelligence or machine learning model, or to develop, improve, or market any product, tool, or service that competes with the Work or with any Lattice product or service.  Licensee shall not use the AI Solution to circumvent, disable, bypass, or interfere with any license, entitlement, authentication, security, or usage control mechanism in any software or device. 
 
3. Separate Design Software Licenses Required. The Work does not include, and this Agreement grants no right to access or use, any Lattice FPGA design software or design tool, or any license, license key, subscription, or entitlement thereto. Licensee must separately obtain and maintain, at its own cost, all licenses to the Lattice FPGA design software and design tools, and to any other design, synthesis, simulation, verification, or device programming software or tool, that are required in order to use the Work or to process, compile, implement, or program any Generated Output. Licensee's use of any such software or tool remains governed solely by the license terms applicable to it, and nothing in this Agreement modifies, supersedes, waives, or extends those terms or entitles Licensee to any additional license, seat, or usage right thereunder. Licensee is solely responsible for its compliance with those terms.

4. Third Party Components. Certain open source, free software, or datasets ("Open Source Software") may have been distributed with or are referenced by the Work, which are licensed from third parties and subject to separate license terms or which are made available for certain uses (the "Open Source Software

License Terms"). Applicable Open Source Software License Terms, if any, and other background information related to the Open Source Software are set forth in a file named "THIRD_PARTY_LICENSES.txt" (or a directory of license files of equivalent name) that is included with the Work materials. If you do not want to be bound by any of the Open Source License Terms, you must immediately cease use of and uninstall the Work.

5. Warranty Disclaimer. THE WORK , ANY AI SOLUTION, ANY GENERATED OUTPUT, AND ANY DESIGN SERVICES PROVIDED BY LATTICE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESSED, IMPLIED, STATUTORY, OR IN ANY OTHER PROVISION OF THIS AGREEMENT OR COMMUNICATION WITH LICENSEE. LATTICE SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. LATTICE DOES NOT WARRANT THAT USE OF THE WORK WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT ANY GENERATED OUTPUT WILL BE CORRECT, REPRODUCIBLE, OR SUITABLE FOR ANY PURPOSE. LICENSEE ASSUMES RESPONSIBILITY FOR SELECTION OF THE WORK TO ACHIEVE ITS INTENDED RESULTS AND FOR THE PROPER INSTALLATION, USE, AND RESULTS OBTAINED FROM THE WORK. LICENSEE ASSUMES THE ENTIRE RISK OF THE WORK PROVING DEFECTIVE OR FAILING TO PERFORM PROPERLY, AND IN SUCH EVENT, LICENSEE WILL ASSUME THE ENTIRE COST AND RISK OF ANY REPAIR, SERVICE, CORRECTION, OR ANY OTHER LIABILITIES OR DAMAGES CAUSED BY OR ASSOCIATED WITH THE WORK.

6. Limitation of Liability. Licensee agrees that Lattice’s entire liability arising under this Agreement and Licensee’s sole remedy hereunder for any cause whatsoever, regardless of the form of the action, will be limited to the amount of monetary consideration, if any, paid to Lattice for the Work. IN NO EVENT WILL LATTICE OR ANY OF ITS SUPPLIERS BE LIABLE TO LICENSEE OR ANY OTHER PERSON FOR ANY DAMAGES, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, WHETHER CHARACTERIZED AS EXPENSES, LOST PROFITS, LOST SAVINGS, OR OTHER DAMAGES OF ANY SORT, ARISING OUT OF THE USE OF OR INABILITY TO USE THE Work, ANY AI SOLUTION, OR ANY GENERATED OUTPUT, EVEN IF LATTICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION SHALL APPLY NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDIES HEREIN.

7. Export Control. Licensee agrees and certifies that the Work will not be exported, directly or indirectly, into any country to which such export is prohibited by the United States Export Administration Act and the regulations thereunder without the required authorization from the United States government, nor will the Work be used for any purpose prohibited by the same. Licensee further agrees that it will not transmit the Work, or any technical data contained in or derived from the Work, to any Third-Party AI Service or other recipient in violation of applicable export control or sanctions laws.

8. Default and Termination. This Agreement will continue indefinitely, until and unless terminated. It will terminate automatically in the event Licensee fails to perform any of its obligations hereunder. Licensee may terminate this Agreement at any time by returning to Lattice the original and all copies of the Work or by destroying the Work together with all copies thereof. Upon termination of this Agreement for any reason, Licensee will either return to Lattice the original and all copies of the Work (including all

modifications and derivative works of any AI Solution), or upon Lattice’s request, destroy such original and all copies and provide Lattice with written certification of their destruction. In addition, upon termination of this Agreement for any reason, Licensee will destroy all bitstream programming files, design files, or device configurations that incorporate the Work, to the extent applicable, and provide Lattice with written certification of their destruction. The parties agree that their respective rights, obligations and duties, which by their nature extend beyond the termination of this Agreement shall survive any termination.

9. Ownership. As between the parties, Lattice and its licensors retain all right, title, and interest in and to the Work, including all intellectual property rights therein. The Work is licensed, not sold. Except for the limited license expressly granted in Section 1, no rights are granted to Licensee in or to the Work, whether by implication, estoppel, or otherwise. As between the parties, Lattice claims no ownership interest in Generated Output, except to the extent that Generated Output contains or embodies the Work or any other Lattice intellectual property, which remains subject to this Agreement. Licensee acknowledges that Generated Output may not be unique to Licensee, that substantially similar output may be generated for other users, and that Lattice makes no representation regarding the ownership, copyrightability, or protectability of Generated Output. This Section does not apply to the Open Source Software, which is governed solely by the applicable Open Source Software License Terms.

10. Government Use. The Work and any accompanying documentation provided to agencies of the U.S. Government are "commercial computer software" and "commercial computer software documentation" pursuant to DFARS 227.7202 and FAR 12.212, and their successors. All use, reproduction, release, performance, display or disclosure of the Work and related documentation by or for the U.S. Government shall be in strict accordance with the terms and conditions of this Agreement. Contractor/manufacturer is Lattice Semiconductor Limited c/o Lattice Semiconductor Corporation, 5555 NE Moore Ct, Hillsboro, OR 97124 and its licensors.

11. General. If Licensee is located in the United States, this Agreement will be governed by the laws of the State of Oregon, U.S.A., without reference to any conflict of law principles. If Licensee is located in a country other than the United States, this Agreement will be governed by the laws of the Republic of Singapore, without reference to any conflict of law principles. The application of the United Nations Convention on Contracts for the International Sales of Goods is expressly excluded. Licensee may not sublicense, assign, or transfer this Agreement or the Work. THIS AGREEMENT IS THE ENTIRE AGREEMENT BETWEEN THE PARTIES WITH RESPECT TO THE SUBJECT MATTER AND SUPERSEDES ANY OTHER COMMUNICATIONS OR PRIOR AGREEMENTS, ORAL OR WRITTEN, REGARDING THE Work. If any provision of this Agreement is held invalid, the remainder of the Agreement will continue in full force and effect. The prevailing party in any legal action arising out of this Agreement will be entitled to reimbursement for reasonable and actual attorney’s fees and expenses, in addition to any other rights and remedies such party may have.
